Renewal Contract Mechanics

Your Price Did Not Rise. Your Discount Expired.

A renewal comes back sharply higher with nothing added on your side. Before you escalate, open the original order form and read how long the discount was ever good for.

One document · Twenty minutes · No vendor call required

Open the Order Form, Not the Quote

Most enterprise discounts are scoped to the initial term. The pricing schedule says so once, three years before it matters, and the renewal quote has no obligation to remind you.

By renewal, the discounted rate is the number in your budget and the number every comparison is made against. The contract has always been comparing to list.

A 20 Percent Discount Unwinds as a 25 Percent Increase

This is arithmetic, not a vendor tactic, which is why arguing that the increase is improper rarely works.

DiscountIncrease at ExpiryOn a $120,000 List Subscription
10%11.1%$108,000 to $120,000
15%17.6%$102,000 to $120,000
20%25.0%$96,000 to $120,000
25%33.3%$90,000 to $120,000
30%42.9%$84,000 to $120,000
35%53.8%$78,000 to $120,000

The rise is measured against what you were paying, not against list, so the increase is always larger than the discount. The harder you negotiated on day one, the sharper the step at expiry.

What To Do In the Twenty Minutes

  1. 01

    Find the Qualifier

Read every word attached to your rate in the pricing schedule. Initial term, introductory, promotional, then-current, or a date.

  2. 02

Separate Discount End From Term End

They are often the same and are not required to be. A discount scoped to an initial thirty six months inside a longer agreement can expire mid-term.

  3. 03

    Check Line By Line

Discounts frequently cover subscription lines and not modules, sandboxes or premium support. The lines that were never discounted are the lines that are negotiable now.

  4. 04

    Ask For Term-Long, Not Larger

A smaller discount with no expiry usually beats a bigger one that ends, and it is easier to get because it does not show up as a headline concession.

Expiring Discounts, Answered

Can we get it reinstated?

Sometimes, in some form, and asking is normal. Arguing that the increase was improper is the one approach that reliably fails, because the pricing schedule says otherwise.

Our increase was smaller than your table predicts. Why?

The discount did not apply to every line. Work line by line rather than on the total and the difference explains itself.

When should we look?

Twelve months out. If you dislike the number and only find it at renewal, your only options are accept or move, and moving takes longer than the notice period allows.

Does this happen on platforms other than NetSuite?

Yes. The mechanic and the location of the clause are the same across Sage Intacct, Microsoft Dynamics and most enterprise subscription agreements.
