Find the Escalator Before You Negotiate the Quote

The discount is a percentage off year one. The escalator is a percentage on top of every year. On a three year term the second number usually beats the first, and it is written in a document you already have.

The Number You Defend Is Not the Number You Pay

A renewal quote prices twelve months. The escalator that prices months thirteen through thirty six is a single sentence in the order form or the master subscription agreement, and it usually sits below the seat count where nobody scrolls.

Three Checks That Change the Answer

Does It Compound?

An increase applied to the original price and one applied to last year’s price are different clauses with very different totals. Look for whether it applies to the then-current fees.

How Many Years Does It Run?

The clause runs for the term, and mid-term module additions co-termed to the original end date extend further than most teams assume.

Is There an Expiring Discount Too?

An escalator starting and an introductory discount ending are separate sentences that compound. Finding one without the other prices half the problem.

Ask For a Cap, Not a Bigger Discount

A cap tied to CPI or a fixed dollar ceiling is worth more across a three year term than a larger percentage off year one, and it is often easier to obtain because it does not appear in the discount reporting your representative is measured on.

Where is the clause?

The order form first, then the master subscription agreement. If modules or entities were added mid-term, check each order form separately, because they can carry different rates and different end dates.

Can we renegotiate it mid-term?

Rarely on its own. It becomes negotiable at renewal, at a true-up, or when you are adding scope. Raising it after you have agreed a headline discount is too late.

Is a 7 percent escalator unusual?

No. Some form of annual increase is standard across enterprise SaaS. The problem is not that it is unusual, it is that it is read once and then compounds silently.

What if we are mid-term right now?

Establish the number now. Knowing your end-of-term figure a year early is the difference between having options and accepting a quote.
